Mr. Brownie: Mr. White, shall we start with the Force-majeure Clause? Mr. White: Certainly, Mr. Brownie.

Mr. B.: The first remark concerns the following wording: “the parties are free from liabilities for non-fulfilment of their obligations under this contract if the circumstances are beyond their control, namely: fire, flood, earthquake and other natural calamities. Here only the elements are listed. What about political and military events?

Mr. W.: Well, somehow I foresaw this question. But why should we be so pessimistic, Mr. Brownie, and expect war round every corner?

Mr. B.: Just in case, Mr. White.

Mr. W.: But surely everything’s within our power and if it smells of a conflict of any kind (if I can put it that way), we can contact each other and decide what to do in the circumstances. We are friends, aren’t we?

Mr. B.: You may be right there, but traditionally military actions were included.

Mr. W.: Let it stay with tradition. We don’t need it, do we? Mr. B.: No, I’m sure we don’t.

Mr. W.: As political matters I think we should consider strikes and locks-out as forcemajeure circumstances.

Mr. B.: Though I’m sure it’s a temporary social phenomenon, we could include them in the contract.

Mr. W.: Let’s hope for the best that we won’t have to deal with anything of the kind.

8. Форс-мажор

8.1. Стороны освобождаются от ответственности за частичное или полное неисполнение обязательств по настоящему контракту, если оно явилось следствием непреодолимой силы, а именно: пожара, наводнения, землетрясения и если эти обстоятельства непосредственно повлияли на исполнение настоящего контракта.

8.2. При этом срок исполнения обязательств по контракту отодвигается соразмерно времени, в течение которого действовали такие обстоятельства.

8.3. Сторона, для которой создалась невозможность исполнения обязательств по контракту, обязана сообщить о наступлении и прекращении вышеуказанных обстоятельств немедленно, однако не позднее 10 дней с момента их наступления, в письменной форме известить другую сторону. Сведения, содержащиеся в сообщении, должны подтверждаться Торгово-промышленной палатой или другим компетентным органом или организацией соответствующей страны. Неуведомление или несвоевременное, сверх 15 дней, извещение об обстоятельствах непреодолимой силы лишает соответствующую сторону права ссылаться на них в будущем.

8.4. Надлежащим доказательством наличия указанных выше обстоятельств и их продолжительности будут служить свидетельства соответствующих торговых палат.

8.5.Если эти обстоятельства будут длиться более 6 месяцев, то каждая из сторон будет вправе аннулировать контракт полностью или частично, и в этом случае ни одна из сторон не будет иметь права потребовать от другой стороны возмещения возможных убытков.

8.6.Продавец обязуется при этом немедленно возвратить Покупателю все авансовые суммы, уплаченные последним по настоящему контракту.
